Please read these terms of service ('terms') carefully before accessing or using any part of www.farmgrade.in. By creating an account, browsing the platform, or placing an order, you unconditionally agree to be bound by these terms. If you do not agree, please discontinue use of this platform immediately.

1.  ABOUT FARMGRADE ORGANICS

FarmGrade Organics Private Limited ('FarmGrade', 'we', 'us', 'our') is a company incorporated under the Companies Act of India, engaged in the sourcing, branding, and direct-to-consumer sale of certified organic food products through its digital platform at www.farmgrade.in. Our mission is to bridge the gap between responsible organic farmers and conscious consumers, ensuring quality, transparency, and trust at every step of the supply chain.

Registered Office: India. All transactions, interactions, and disputes arising from use of this Platform are governed by the laws of the Republic of India.

2.  DEFINITIONS

• "Platform" means the website www.farmgrade.in, including all its pages, services, tools, and content.
• "User" / "You" refers to any person who accesses, registers on, or transacts through the Platform, whether as a visitor, registered member, or buyer.
• "Products" means all organic food items, consumables, and ancillary goods listed for sale on the Platform.
• "Account" refers to a registered user profile created by the User on the Platform.
• "Order" means a confirmed request placed by a User to purchase one or more Products.
• "Content" refers to all text, images, graphics, descriptions, trademarks, data, and other material on the Platform.

3.  ACCEPTANCE & ELIGIBILITY

By accessing this Platform, you represent and confirm that:

• You are at least 18 years of age or have the consent of a legal guardian.
• You are legally capable of entering into a binding contract under Indian law.
• All information you provide to us is accurate, current, and complete.
• You will update your account information to keep it accurate and up to date.
• Your use of the Platform does not violate any applicable law or regulation.

FarmGrade reserves the right to deny access or terminate accounts of users who do not meet these eligibility requirements, at its sole and absolute discretion.

4.  ACCOUNT REGISTRATION & SECURITY

Certain features of the Platform require account registration. You are responsible for:

• Maintaining the confidentiality of your login credentials (username and password).
• All activities and transactions conducted under your account.
• Notifying FarmGrade immediately upon discovering any unauthorised use of your account.

FarmGrade shall not be liable for any loss, damage, or liability arising from your failure to comply with these obligations. We reserve the right to suspend, deactivate, or permanently delete accounts that are suspected of fraudulent, abusive, or policy-violating activity without prior notice.

5.  USE OF THE PLATFORM

5.1  Permitted Use

You may use the Platform solely for lawful personal, non-commercial purposes — specifically, to browse and purchase products for personal consumption or as gifts.

5.2  Prohibited Conduct

You expressly agree NOT to:

• Use the Platform for any unlawful, fraudulent, or harmful purpose.
• Attempt to gain unauthorised access to any part of the Platform, its servers, or its databases.
• Scrape, harvest, or extract data from the Platform using automated tools or scripts.
• Post, transmit, or distribute defamatory, obscene, or misleading content.
• Circumvent, disable, or tamper with any security or access-control features.
• Use another person's credentials or impersonate any individual or entity.
• Reverse-engineer, decompile, or disassemble any software associated with the Platform.
• Place fictitious, speculative, or malicious orders with no intention to complete payment.
• Violation of any of the above may result in immediate account suspension, order cancellation, and, where applicable, legal action.

6.  PRODUCTS & DESCRIPTIONS

FarmGrade Organics takes every reasonable care to ensure that product descriptions, images, ingredient lists, nutritional information, certifications, and pricing are accurate and current. However, we do not warrant that all descriptions are error-free, complete, or up to date. Variations in colour, size, packaging, or appearance between the listing image and the delivered product may occur due to photographic conditions and screen display differences — these do not constitute grounds for a return or dispute.

All products are subject to availability. FarmGrade reserves the right to modify, withdraw, or discontinue any product at any time without notice.

7.  PRICING & PAYMENT

All prices on www.farmgrade.in are listed in Indian Rupees (INR) inclusive of applicable GST, unless explicitly stated otherwise. Prices are dynamic and subject to change without prior notice. The price applicable to your order will be the price confirmed at the time your payment is successfully processed and the order is acknowledged by us.

We accept the following payment methods: credit/debit cards, net banking, UPI, and other modes offered by our authorised payment gateway partner. All payments are processed in real time through a PCI-DSS-compliant gateway. FarmGrade does not store card or banking details on its servers.

In the event of a pricing error on our Platform, FarmGrade reserves the right to cancel the order and issue a full refund without any further liability.

8.  ORDER CONFIRMATION & CONTRACT FORMATION

An order placed by you constitutes an offer to purchase. A binding contract is formed only when FarmGrade sends you an official Order Confirmation via email. FarmGrade reserves the right to decline, cancel, or limit any order for any reason, including but not limited to stock unavailability, suspected fraud, pricing errors, or breach of these Terms. In such cases, full refunds will be issued for payments already made.

9.  INTELLECTUAL PROPERTY

All intellectual property on this Platform — including the FarmGrade name, logo, taglines, product photography, written content, and website design — is the exclusive property of FarmGrade Organics Private Limited and is protected under the Trade Marks Act, 1999, the Copyright Act, 1957, and applicable international treaties.

No Content may be reproduced, republished, modified, transmitted, distributed, or commercially exploited without the prior written consent of FarmGrade. Any unauthorised use constitutes infringement and may be subject to civil and criminal action under Indian law.

10.  THIRD-PARTY LINKS & SERVICES

The Platform may contain links to third-party websites, payment gateways, logistics partners, or external content. These are provided solely for your convenience. FarmGrade does not endorse, control, or accept responsibility for the content, privacy practices, or services of any third party. Your interactions with third-party services are solely between you and the respective third party and are governed by their own terms.

11.  DISCLAIMERS & LIMITATION OF LIABILITY

The platform and all products and services are provided on an 'as is' and 'as available' basis without warranties of any kind, express or implied. Farmgrade Organics does not warrant that the platform will be uninterrupted, error-free, or secure.

To the maximum extent permitted by applicable law, FarmGrade's total liability for any claim arising out of or in connection with your use of the Platform or purchase of Products shall be limited to the value of the order in dispute. FarmGrade shall not be liable for any indirect, consequential, incidental, punitive, or special damages, including loss of profits, goodwill, or data.

12.  INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Farmgrade Organics Private Limited, its directors, officers, employees, agents, affiliates, and successors from and against any losses, liabilities, damages, judgments, costs, and expenses (including reasonable legal fees) arising from:

• Your breach of any provision of these Terms.
• Your violation of any applicable law or third-party right.
• Any fraudulent, negligent, or wilful misconduct on your part.
• Any content or materials you submit to the Platform.

This obligation survives the termination of your account or this Agreement.

13.  TERMINATION

FarmGrade may, at its sole discretion and without liability, immediately terminate or suspend your access to the Platform and any associated accounts if you breach these Terms or engage in conduct we deem harmful to users, third parties, or the Company. You may terminate your account at any time by contacting us at connect@farmgrade.in. Termination does not affect any rights or obligations accrued prior to termination.

14.  GOVERNING LAW & DISPUTE RESOLUTION

These Terms are governed by and shall be construed in accordance with the laws of the Republic of India. Any disputes, claims, or controversies arising from or relating to these Terms, the Platform, or any transaction shall be subject to the exclusive jurisdiction of the competent courts located in Pathanamthitta, India.

15.  CHANGES TO THESE TERMS

FarmGrade reserves the right to revise or replace these Terms of Service at any time without prior individual notice. All changes are effective immediately upon publication at www.farmgrade.in. Your continued use of the Platform after any modification constitutes your acceptance of the updated Terms. We encourage you to review this page regularly.
